We are looking for an experienced Senior Assistant Company Secretary to join our team on a permanent basis in Alderley Park. 

 

In this role you will be involved in the delivery of company secretarial and governance services in respect of the Royal London Mutual Insurance Society (RLMIS) and its subsidiaries. You will lead on the delivery of governance support to our subsidiaries, support the RLMIS Annual General Meeting (AGM) and support on a broad range of other RLMIS Board and Committee Governance matters.

 

About the role

 

  • Lead on corporate governance and company secretarial matters for Group entities, ensuring statutory compliance. This will include drafting resolutions and completing filings and annual returns with Companies House.
  • Lead the delivery of governance and compliance aspects of the RLMIS AGM, working closely with the Group Company Secretary and other stakeholders.
  • Support the delivery of corporate governance advice and delivery to the RLMIS Board, including drafting of papers and taking minutes of meetings as required.
  • Monitor changes in corporate legislation and the financial services regulatory environment and take or recommend action as appropriate.
  • Set a distinct and consistent tone from the top, championing effective risk consideration and management whilst delivering on SLA’s and KPI’s set for the Group Secretariat.

 

About you

 

  • Lawyer or CGI qualified/part qualified with relevant corporate governance and company secretary experience and knowledge gained in a regulated environment.
  • Demonstrably strong stakeholder management and relationship building experience.  
  • Good judgement, self-awareness, tact, and discretion, being a self-starter working independently or part of a team.
  • Knowledge of governance best practice, relevant issues, statutory requirements and regulations, including keeping abreast of new upcoming trends in the industry.
  • Excellent communicator with highly developed interpersonal and influencing skills and have experience of leading change in governance practice with multiple stakeholder groups.
  • High attention to detail with the ability to manage multiple tasks simultaneously and coach and mentor more junior colleagues.
